1. Acceptance of Terms

By creating an account, accessing, or using the Marketing So High platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Marketing So High is an AI-powered marketing platform that provides tools and automation for:

• Content Creation and Distribution: AI-generated marketing content with automated publishing to social media platforms, blogs, and other channels.
• Outreach Automation: AI-powered prospect outreach via LinkedIn messaging and email campaigns.
• SEO Management: Keyword research, content optimization, rank tracking, site audits, and competitor analysis.
• Analytics and Reporting: Performance tracking, engagement analytics, and marketing intelligence across all channels.
• Goal and Plan Management: Strategic marketing plan generation and automated execution of marketing tasks.

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or for any other purpose is prohibited.
• You must be at least 16 years old to create an account and use the Service.
• You must notify us immediately of any unauthorized access to or use of your account.

4. Subscription Plans and Billing

The Service is offered under multiple subscription tiers, including a free tier. Our subscription plans and current pricing are available on the Billing page within the application. Pricing may be updated from time to time with reasonable notice to subscribers.

• All paid plans include a 14-day free trial. You will not be charged during the trial period.
• Annual billing is available at a 20% discount on monthly pricing.
• Subscriptions renew automatically at the end of each billing period unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Payments are processed securely through Stripe. All prices are in US dollars unless otherwise stated.
• We reserve the right to change pricing with 30 days' written notice. Existing subscribers will be grandfathered at their current rate for the remainder of their billing period.

5. Acceptable Use

When using our Service, you agree not to:

• Send unsolicited bulk messages (spam) or engage in any form of mass unsolicited outreach that violates applicable anti-spam laws.
• Create, distribute, or publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Use the Service to violate the terms of service of any connected third-party platform, including but not limited to LinkedIn, Meta (Facebook / Instagram / Threads), Pinterest, TikTok, Reddit, Medium, WordPress, Google (Search Console / Analytics), and Tumblr. You agree to comply with each platform's Developer Policies when using the integrations.
• Attempt to circumvent usage limits, rate limits, or other restrictions imposed by your subscription plan.
• Use automated tools, bots, or scripts to access the Service in a manner not authorized by us (beyond what the platform itself provides).
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Abuse API connections by exceeding reasonable request volumes, scraping data, or interfering with the normal operation of connected platforms.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Use the Service for any purpose that is illegal or prohibited by these Terms.

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting to law enforcement where necessary.

6. Intellectual Property

• Your Content: You retain all rights to the content you create, upload, or distribute through the Service. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service to you.
• AI-Generated Content: Content generated by our AI tools on your behalf is owned by you. However, similar content may be independently generated for other users due to the nature of AI systems.
• Our Platform: The Service, including its design, features, code, algorithms, user interface, documentation, and branding, is owned by Techno Believe Solutions Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the platform without our prior written consent.
• Feedback: If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation to you.

7. Third-Party Platforms

The Service enables you to connect and interact with third-party platforms. Regarding these integrations:

• You are solely responsible for your accounts on third-party platforms, including maintaining valid credentials and complying with their respective terms of service.
• You must comply with the terms of service, community guidelines, and acceptable use policies of each third-party platform you connect to our Service.
• We are not responsible for any actions taken by third-party platforms, including suspension or termination of your accounts on those platforms.
• Third-party platforms may change their APIs, policies, or availability at any time. We will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted access to third-party services.
• You authorize us to act on your behalf when interacting with connected platforms, including publishing content, sending messages, and retrieving analytics data.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
• We are not liable for any losses resulting from actions taken by third-party platforms, including account suspensions, content removal, or API changes.
• AI-generated content is provided for your review and use at your own discretion. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content.

9. Termination

• By You: You may cancel your subscription and close your account at any time through the billing settings in your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period.
• By Us: We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, fail to pay applicable fees, or if we reasonably believe your use poses a risk to our Service or other users.
• Effect of Termination: Upon termination, your right to access the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations or to resolve disputes. You may request export of your data prior to termination.
• Sections relating to intellectual property, limitation of liability, and governing law survive termination of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable law.
